Terms of Use

These Terms of Use ("Terms") constitute a legally binding agreement between you ("you," "User") and AEX (Action Explore Xchange) ("AEX," "we," "our," or "us").
By accessing or using the AEX website, mobile application, or any related services (collectively, the "Platform"), you agree to be bound by these Terms. If you do not agree, do not access or use the Platform.
1. The AEX Platform
AEX provides a subscription-based platform that enables users to discover and book experiences using credits. Experiences are offered and fulfilled by independent third-party providers ("Activity Providers"). AEX is not the provider, operator, or organizer of any experience listed on the Platform.
2. Eligibility
You must be: at least 18 years old; legally capable of entering into a binding contract; using the Platform for personal, non-commercial purposes. By using AEX, you represent and warrant that you meet these requirements.
3. Account Registration
You must create an account to access certain features. You agree to: provide accurate and current information; maintain the security of your account credentials; accept responsibility for all activity conducted under your account. AEX reserves the right to suspend or terminate accounts at its discretion.
4. Subscriptions
Subscription Plans
AEX offers recurring subscription plans that include a monthly allocation of credits. Subscriptions: renew automatically unless canceled prior to the renewal date; are billed in advance; may change in price or structure with prior notice. You authorize AEX to charge your payment method on a recurring basis.
5. Credits
Credits: have no cash value; are non-transferable; cannot be redeemed for money; may expire if your subscription ends or after a stated period; are forfeited upon account termination. AEX reserves the right to modify credit pricing, availability, redemption values, or expiration policies at any time.
6. Bookings & Activity Providers
When you book an experience: you contract directly with the Activity Provider; the provider determines availability, rules, restrictions, and safety requirements; AEX does not guarantee quality, availability, or outcomes. You agree to comply with all Activity Provider rules and instructions.
7. Cancellations & No-Shows
Cancellation policies are set by Activity Providers. Failure to attend may result in forfeited credits. Subscription fees are non-refundable except where required by law. AEX may issue discretionary credits but has no obligation to do so.
8. Assumption of Risk
Activities available through AEX may involve inherent risks. By participating, you acknowledge and agree that: you voluntarily assume all risks associated with participation; AEX is not responsible for injuries, losses, or damages; safety and supervision are the responsibility of the Activity Provider and yourself.
9. Prohibited Conduct
You agree not to: use the Platform for unlawful purposes; abuse, harass, or harm others; manipulate credits, bookings, or reviews; attempt to bypass platform safeguards; resell or commercially exploit the Platform. Violations may result in suspension or termination.
10. Intellectual Property
All Platform content—including trademarks, logos, designs, software, and text—is owned by AEX or its licensors. You may not copy, distribute, modify, reverse engineer, or exploit any portion of the Platform without written permission.
11. Disclaimer of Warranties
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE." AEX DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW: AEX SHALL NOT BE LIABLE FOR: PERSONAL INJURY OR PROPERTY DAMAGE; ACTS OR OMISSIONS OF ACTIVITY PROVIDERS; LOST PROFITS, DATA LOSS, OR SERVICE INTERRUPTIONS. AEX'S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO AEX IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
13. Indemnification
You agree to indemnify and hold harmless AEX and its affiliates from any claims arising out of: your use of the Platform; your participation in activities; your violation of these Terms.
14. Arbitration & Class Action Waiver
PLEASE READ CAREFULLY. Any dispute arising out of or relating to these Terms shall be resolved through binding arbitration, not in court. You agree to: waive your right to a jury trial; resolve disputes on an individual basis; waive participation in class actions or collective proceedings. Arbitration shall be conducted under the rules of the American Arbitration Association (AAA).
15. Termination
AEX may suspend or terminate your account at any time for any reason. Upon termination: access to the Platform will cease; unused credits may be forfeited; certain provisions of these Terms will survive.
16. Governing Law
These Terms are governed by the laws of the State of Colorado, without regard to conflict-of-law principles.
17. Changes to These Terms
We may modify these Terms at any time. Continued use of the Platform after changes constitutes acceptance of the revised Terms.
